Schneider Electric to acquire Massachusetts-Based PTC for $22.6B

Schneider Electric has agreed to acquire PTC Inc. in an all-cash deal worth $205 per share, valuing the company at around $22.6 billion. The offer represents a 42.3% premium over PTC’s last closing price.

The acquisition aims to create an industrial software and AI platform connecting product design, engineering and data management with energy systems. PTC serves more than 30,000 customers worldwide and reported €2.4 billion in revenue with an adjusted EBITA margin of about 40% in 2025.

Schneider Electric expects the deal to deliver €250 million in annual cost savings by the third year, along with around €800 million in additional revenue. The acquisition will be funded through €5–6 billion in new equity and €16–17 billion in debt.

The deal still needs approval from PTC shareholders and regulatory authorities. The transaction is expected to close by the third quarter of 2027.
