United Therapeutics Corporation Acquires Thymmune Therapeutics

United Therapeutics Corporation has acquired Thymmune Therapeutics, a privately held biotechnology company developing regenerative thymic cell therapies for organ transplant tolerance, immune deficiencies, and autoimmune diseases.

Thymmune's technology uses human-induced pluripotent stem cells (iPSCs) to create thymic cells that can mature inside the body and help restore healthy T-cell function. The thymus plays a key role in training T-cells, which are essential for a healthy immune system and for protecting the body against infections and disease.

Thymmune's lead therapy, THY-100, is currently in preclinical development for congenital athymia, a rare and life-threatening condition in which babies are born without a functioning thymus. In animal studies, THY-100 has shown the ability to create a new thymus inside the body that supports the development of healthy T-cells.

If successful in future clinical studies, THY-100 could also be used to treat other conditions, including improving organ transplant tolerance, immune-related diseases, and age-related decline in T-cell function.

Under the agreement, United Therapeutics acquired Thymmune for $140 million in cash, subject to standard post closing adjustments. Former Thymmune shareholders could also receive up to $160 million in additional milestone payments if the company achieves certain clinical and regulatory goals by the end of 2031.
