Okta CFO sells 80,000 shares worth $12.9M after stock hits 52-week high

The shares were sold at an average price of $160.97 each, following an 82% increase in Okta’s stock over the past year. After the sale, Tighe continues to hold 82,046 shares directly and 7,693 shares through a trust, representing a 0.054% ownership stake in the company.

Okta provides identity management solutions through its cloud-based platform. The company mainly earns revenue from subscription-based services and professional services for enterprise and mid-sized customers worldwide.

The sale represented about 47% of Tighe’s equity stake. It included the conversion of 41,251 Class B shares into Class A shares, which were then sold immediately. Such transactions can be part of a planned liquidity strategy used by executives to manage their large shareholdings.

After the transaction, Tighe still holds 82,046 Class A shares directly and 7,693 Class A shares through a trust along with nearly 80,000 other direct and indirect securities. This leaves him with a significant stake in Okta, although future large share sales could attract investor attention.

Okta CFO Brett Tighe, sold shares at a weighted average price of $160.97 on September 2, 2026. The sale came shortly after Oktas stock reached a 52-week high of $174.85 on August 27.

The transaction was not a discretionary sale. It was carried out under a pre-arranged Rule 10b5-1 trading plan, which allows executives to schedule stock sales in advance.
